Introduction


Welcome to Shining People, a recruitment agency specializing in neurodiversity-focused hiring solutions. These Terms and Conditions ("T&C") form a legally binding contract between Shining People ("the supplier") and Clients ("the client") regarding our recruitment services.

By using our services, you agree to be bound by these Terms. If you do not agree, please refrain from using our services.

These Terms cover:

  • General provisions
  • Permanent placement provisions
  • Contract placement provisions
  • Data protection
  • Client obligations and confidentiality
  • Fees, payments and liability
  • Termination and governing law

General provisions


2.1 Scope and acceptance

These T&C apply unless the client and Shining People have a separate written contract. In case of a conflict, the separate contract prevails.

The client is deemed to have accepted these T&C when they:

  • Request Shining People to introduce candidates.
  • Interview, hire, or engage a candidate introduced by us.
  • Receive any recruitment or consultancy service from us.

These terms apply to permanent hires, contract placements, and consultancy services provided by Shining People.

Recruitment services

3.1 Services provided

Shining People provides:

  • Permanent placements – Hiring for fixed-term or open-ended contracts.
  • Recruitment consultancy – Support in hiring neurodivergent talent, inclusive hiring strategies, and workplace adaptation guidance.
3.2 No hiring guarantee

We provide candidate introductions but do not guarantee a hire or long-term employment success. Our role is to facilitate recruitment; the final hiring decision remains with the Client.

3.3 Competing introductions

If multiple agencies introduce the same candidate, Shining People is still considered the introducer if the candidate is hired following our introduction. The Client must pay the introduction fee, regardless of prior knowledge of the candidate.

Introduction fees and payment terms

4.1 Fee structure

The client agrees to pay an introduction fee for each candidate hired through Shining People, calculated as follows:

  • Permanent placements – A percentage of the candidate’s total gross annual remuneration (salary + benefits).

Fees apply regardless of:

  • The candidate’s previous applications with the client.
  • The candidate being hired in a different role than initially introduced for.
4.2 Cancellation fees

If the client withdraws an accepted offer, a 30% cancellation fee of the introduction fee applies.

4.3 Payment terms
  • All invoices must be paid upon receipt unless otherwise agreed.
  • If the client re-hires a candidate within 12 months, an additional introduction fee applies.
  • Late payments will incur:
    Interest charges at 12% per annum.
    Suspension of recruitment services.
    Legal action for unpaid debts.

Client obligations

5.1 Providing accurate information

Clients must provide clear, accurate job descriptions, salary details, and role requirements before candidate introductions.

5.2 Assessing candidates

The client is responsible for:

  • Conducting reference checks.
  • Verifying qualifications and legal work eligibility.
  • Ensuring the candidate fits their workplace requirements.
5.3 No unauthorized sharing of candidates

If the client introduces a Shining People candidate to another company and they are hired, the client remains liable for the Introduction Fee.

5.4 No poaching of agency staff

Clients must not solicit or hire Shining People’s staff. If they do, they will be charged an Introduction Fee as if they were a recruited candidate.

Confidentiality

6.1 Candidate information

Candidate details are strictly confidential. Clients must not share CVs, contact details, or employment history with third parties without written consent from Shining People.

6.2 Business confidentiality

Both parties agree to maintain confidentiality over business-sensitive information obtained during recruitment services.

Liability 

7.1 No employment guarantee

Shining People is not responsible for:

  • A candidate’s job performance, conduct, or retention.
  • Any loss, damage, or costs arising from a hire.
7.2 Limitation of liability

Our maximum liability is limited to the introduction fee paid by the client.

Termination of agreement

8.1 Grounds for termination

Either party may terminate these T&C if:

  • The other fails to meet contractual obligations and does not fix the issue within 15 days.
  • The other party becomes insolvent or enters bankruptcy proceedings.
8.2 Fees still apply after termination

If a Shining People candidate is hired after termination, the introduction fee is still due.

Data protection and GDPR compliance 

9.1 Compliance with data protection laws

Shining People follows GDPR, UK GDPR, and other applicable privacy laws when handling candidate data.

9.2 Client responsibilities

Clients must:

  • Handle candidate data securely and confidentially.
  • Use data only for recruitment purposes.
  • Delete candidate data if they do not hire them.
9.3 Liability for data misuse

Shining People is not liable for any client mishandling of candidate data.

Governing law and disputes

10.1 Jurisdiction

These Terms are governed by the laws of United Kingdom, and any disputes will be resolved in the courts of United Kingdom.

10.2 Force majeure

Neither party will be liable for delays due to unforeseen events beyond their control (e.g., natural disasters, strikes, government regulations).

Definitions 

  • Client – The company or individual using Shining People’s recruitment services.
  • Candidate – Any professional introduced to the client by Shining People.
  • Introduction – The provision of candidate details, including a CV or professional profile.
  • Engagement – The hiring or contracting of a candidate, either directly or indirectly.
  • Introduction fee – The fee due when a client hires a Shining People candidate.
